Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") apply when you use the Botomic website and Pulse (the "Service"). By using the Service, you agree to them. If you do not agree, please do not use the Service.

Pulse subscriptions and trials are not yet available. The subscription provisions below describe the terms intended to apply when they open.

These Terms are an agreement between you and Botomic Limited ("Botomic," "we," "our," or "us"), a company registered in England and Wales (company number 16942423), with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom.

2. Description of Service

Botomic publishes Pulse, a research service delivered through our website. Pulse reads positioning across the options market and distils it into a single Pulse score for each stock we cover. It also includes a daily market regime and a simulated model portfolio.

Botomic Limited is not authorised or regulated by the Financial Conduct Authority, is not registered as an investment adviser with the US Securities and Exchange Commission, and is not a broker. We do not hold client money or execute trades.

3. Disclaimer

Pulse scores, the market regime and the model portfolio are produced by one fixed methodology and are the same for every subscriber. The model portfolio is simulated, not an actual account. Data can be delayed, incomplete or wrong. Our full disclaimer forms part of these Terms.

4. No Investment Advice

Botomic publishes general research and data about US-listed securities. Ratings, scores and the model portfolio are not personal recommendations, do not take account of your objectives, finances or experience, and are not an offer or solicitation to buy or sell any security. You alone decide whether any trade suits you; consider independent professional advice.

5. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Comply with all applicable laws and regulations in your jurisdiction

You are responsible for ensuring that your use of the Service complies with all laws applicable to you.

6. Account Registration

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Take reasonable care to keep your account credentials secure
• Tell us as soon as you can if you suspect unauthorised access to your account

You are responsible for activity under your account. If someone uses it without your permission, you are responsible only to the extent that this results from your breaking these Terms or not taking reasonable care. Section 16 explains when we may suspend or end access.

7. Subscriptions and Billing

Pulse is available by monthly or annual subscription. Prices, including founder pricing, are set out in our Billing, Cancellation & Refund Policy. By subscribing, you agree to pay the price shown at checkout.

• Subscriptions automatically renew at the end of each billing period until you cancel
• You can cancel at any time from your account page or by emailing support@botomic.trade
• When you cancel, renewal stops and you keep access until the end of the period you have paid for, unless you cancel for a refund under section 9 or exercise another right to end access sooner
• Changes to standard subscription prices apply only at renewal. We will email you 30 days before your first renewal at a new price, stating the new price and how to cancel. A founder price stays as described in the Billing, Cancellation & Refund Policy.

8. Free Trial

Each account may start one free 7-day Pulse trial. No payment card is needed. The trial ends automatically after 7 days and nothing is charged. To keep using Pulse after the trial, you choose a subscription.

9. Refunds

If you cancel within 14 days after the day your first subscription payment succeeds, we refund that payment in full and your access ends. Our Billing, Cancellation & Refund Policy explains how. It does not limit your legal cancellation rights, or your remedies if Pulse is faulty, not as described or not supplied with reasonable care and skill.

10. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your account credentials or allow others to access your account
• Use the Service to develop a competing product or service
• Resell, redistribute, or sublicense access to the Service
• Copy, publish or share Pulse scores, rankings, regime calls or model-portfolio data beyond your own personal use

These restrictions do not stop you doing anything the law allows despite a contract term.

11. Intellectual Property

Intellectual property rights in the Service and its content belong to Botomic or its licensors.

We grant you a limited, non-exclusive, non-transferable licence to use the Service for your personal, non-commercial research, subject to these Terms.

12. Third-Party Services

The Service may link to or rely on third-party services, such as our payment processor. We remain responsible for our obligations to you under these Terms. If you choose to use a separate third-party service, its own terms apply to it.

13. Your Legal Rights

We supply Pulse as described and with reasonable care and skill. If Pulse is faulty, not as described or not supplied with reasonable care and skill, you have legal remedies. Section 14 sets out our exclusions and limits of liability, which apply only where the law permits them. Except for our commitments in these Terms and your legal rights, Pulse is provided "as is" and "as available", without other warranties. We do not promise uninterrupted access.

14. Trading Decisions and Our Responsibility

Pulse is general research. Scores, regime calls and model-portfolio results can be wrong or delayed, and no result is promised. You alone decide whether and how to trade, and you are responsible for those decisions. Subject to the exceptions below, and to the fullest extent the law allows, we are not responsible for any trading or investment losses, or profits you did not make, arising from decisions you make using Pulse or any other information we provide, however they are caused, including by errors in our data or by our negligence.

For any other loss, we are responsible only for loss you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill. Subject to the exceptions below, our total responsibility arising from an event is limited to the greater of US$100 and the fees you paid us for Pulse in the 12 months before that event.

The exclusions and limits in this section do not apply to liability for breach of your statutory rights relating to digital content, to any refund, price reduction or repayment you are legally entitled to receive, or to liability for fraud or fraudulent misrepresentation, death or personal injury caused by our negligence, or anything else the law does not allow us to exclude or limit.

15. Your Responsibility to Us

You are responsible for loss we suffer that is a foreseeable result of your breaking these Terms, for example by sharing your account or redistributing Pulse data. We will take reasonable steps to limit that loss.

16. Suspension and Termination

We may suspend your access for as long as reasonably necessary to investigate a suspected serious breach of these Terms or a security risk, and end it for a serious or repeated breach or where the law requires. You keep access to billing and cancellation while suspended. You can ask us to review a suspension by emailing support@botomic.trade. We will consider your request within a reasonable time and explain the outcome, unless the law or a security risk prevents us giving those details.

If we stop providing Pulse, we will give you at least 30 days' notice by email, unless the law requires us to stop sooner. If we end paid access early, we refund the unused paid time. If a suspension turns out to have been unjustified, we refund the charges for the time you could not use Pulse. These refunds do not limit your other legal remedies.

Sections of these Terms that by their nature should continue after your access ends will continue.

17. Governing Law

These Terms are governed by the law of England and Wales. This does not remove any mandatory consumer protections that apply to you where you live. You can bring a claim in the courts of England and Wales or, if you are a consumer, in the courts where you live.

18. Changes to Terms

We may correct or clarify these Terms without changing your rights. Other material changes apply from your next renewal unless you agree otherwise. We will email you at least 30 days before they apply, and you can cancel before then if you do not agree.

We will not reduce what you have paid for during your current billing period without your agreement, unless the law requires a change. If such a change materially affects your access, you can end your subscription and receive a refund for the unused paid time.

19. Severability

If a court finds any of these Terms unenforceable, the rest of the Terms continue to apply.
